The Board Meeting Changed Who Controlled Everything

The board meeting began at nine the next morning. Brian arrived with Gerald and two attorneys, both of them looking as though they still expected me to negotiate quietly. I brought my own counsel and the original shareholder agreement. The first item on the agenda was the proposed sale. The second was Brian’s attempt to represent my controlling interest as something that could simply be erased through divorce paperwork.

My attorney explained that no sale could proceed without my approval and that Brian’s email to the buyer had created a serious problem. He had represented ownership he did not control as though it were already resolved. The buyer’s attorneys immediately paused the transaction and requested a complete review of every document connected to the proposed acquisition.

Then I exercised the voting rights I had ignored for years. Brian was removed from authority over the sale process pending review. Gerald remained chairman in name, but several powers tied to major transactions were transferred to the board. For the first time since I invested $1.6 million, everyone in the room had to acknowledge what the paperwork had always said: I was not a wife who had benefited from the Holloway business. I was the person who had saved it.

The divorce still went forward. I did not want Brian back, and I did not use the company to punish him. Eventually, the sale was renegotiated under proper terms, and my ownership received its legitimate share of the proceeds. Months later, Brian asked why I had not told him at dinner that his plan would fail. I reminded him that I had tried. I had asked whether his lawyer forgot to tell him something. He was simply too certain I had nothing important to say.
